Preamble
These GTC are entered into between SAS CAPNOR (capital EUR 230,000, RCS Dunkerque B 398 690 347), 570 rue Armand Carrel, 59640 Dunkerque (France), operating www.capnor-auto.com (the Seller), and any person making a purchase on the Website (the Customer).
Compliant with Directive 2011/83/EU (amended by Dir. (EU) 2019/2161), Dir. (EU) 2019/771, Regulation (EU) 2016/679 (GDPR), Regulation (EC) 593/2008 (Rome I) and Regulation (EU) 1215/2012 (Brussels I bis).
Article 1 — Scope, definitions and products
SAS CAPNOR specialises in vehicle dismantling, depollution and recycling. Each used part is unique. The Customer is responsible for verifying compatibility before placing an Order.
Territory: EU-27, Iceland, Liechtenstein. Norway: import formalities at the Customer's expense (CAPNOR not registered under VOEC).
Territorial limitation — These GTC do not cover sales outside the defined Territory. Deliveries to Switzerland, the UK or third countries require prior specific agreement.
Order validation = unreserved acceptance of these GTC.
Article 2 — Pre-contractual information
Per Art. 6 Directive 2011/83/EU: product characteristics; Seller identity; total price incl. VAT and delivery; guarantees; withdrawal right and form (Annex I); mediator and ODR platform.
Article 3 — Orders
Payment obligation (Art. 8(2) Dir. 2011/83/EU). Sale final upon CAPNOR confirmation email. Recorded data = proof. CAPNOR may refuse abnormal orders.
Article 4 — Product availability
Refund within 14 days if unavailable (Art. 18(2) Dir. 2011/83/EU).
Article 5 — Prices, tariffs and VAT
5.1 Prices
Prices in EUR, VAT included for Consumers (OSS regime per Dir. (EU) 2017/2455). For Professionals with valid intra-Community VAT number (VIES): invoicing excl. VAT with reverse charge (Art. 138 Dir. 2006/112/EC).

5.3 Used goods — VAT margin scheme
For eligible reconditioned used parts: margin scheme per Art. 311-325 Dir. 2006/112/EC. Invoice mention: Special scheme — Second-hand goods. VAT not deductible by Customer.
5.4 Delivery charges
Calculated automatically, displayed before validation (Art. 6(1)(e) Dir. 2011/83/EU).
5.5 Price validity
Prices firm and non-revisable. Invoice price is final.
Article 6 — Payment terms
Payment at Order, in full. PSD2/SCA security. Late B2C: legal interest after 30-day notice. Late B2B: ECB rate + 8 points + EUR 40 flat fee (Dir. 2011/7/EU).
Article 7 — Delivery
Delivery within 30 days (Art. 18(1) Dir. 2011/83/EU). Risk: Consumer = physical possession (Art. 20); Professional = handover to carrier. Claims within 48 h to sav@sas-capnor.fr.
Reservation formalities do not affect Consumer rights under legal guarantees (Art. 9-10).
Article 8 — Right of withdrawal (B2C)
Applies exclusively to Consumer Customers. 14 days (Art. 9 Dir. 2011/83/EU), extended to 30 by CAPNOR.
Via form (Annex I), email, SAV portal or post. Return within 14 days. Refund within 14 days. Return costs borne by Customer.
Exceptions: personalised, mixed, unsealed products (Art. 16).
Article 9 — Legal guarantee of conformity (B2C)
Per Directive (EU) 2019/771. 2-year guarantee (Art. 10(1)). Presumption: 12 months (Art. 11(1)). Remedies: repair/replacement; price reduction/termination.
Warranty extended by immobilisation of 7+ days.
Article 10 — Hidden defects guarantee
Per Art. 1641-1648 French Civil Code and equivalent regimes. Action within 2 years of discovery.
Article 11 — CAPNOR commercial warranty
2 years for all warranted Products; 2 years or 50,000 km for engines/gearboxes. Refund of part price. Never covers removal, refitting, consumables, shipping, roadside assistance, rental. Extended by immobilisation of 7+ days (Art. L217-16).
Article 12 — Warranty exclusions
Only commercial warranty (Art. 11), not legal guarantees (Art. 9-10). Excluded, among others:
- other parts defects; misuse; unauthorised modifications; abnormal use; non-compliant fitting
- external causes; corrosion; consumable parts; missing invoice; return without accessories
Article 13 — Liability
Consumers: full liability, no contractual limitation (Art. 6(2) Rome I). Professionals: limited to Product price; indirect damages excluded. Defective products: Dir. 85/374/EEC.
Article 14 — Data protection (GDPR)
Controller: SAS CAPNOR — rgpd@sas-capnor.fr. Per GDPR Art. 6/13. Rights Art. 15-22. Complaint: CNIL (FR) or national authority (Art. 77 GDPR).
Article 15 — Year-End Rebates (YER) — Professional Customers
15.1
Applies exclusively to automotive Professional Customers (garages, body shops, auto centres, brand agents, parts dealers, fleet managers) with a professional account. Consumer Customers per Art. 2(1) Dir. 2011/83/EU are not eligible.
15.2
CAPNOR may grant YER calculated on net turnover excl. VAT during the Reference Period (Art. 15.4), across all channels. YER are conditional and based on the principle of freedom of contract.
15.3
Regime 1 — Progressive volume tiers. Illustrative example: 3% on EUR 0-10,000 and 5% on EUR 10,001-25,000; Customer with EUR 18,000 turnover receives (10,000 × 3%) + (8,000 × 5%) = EUR 700.
Regime 2 — Key Account: individualised agreement. Key Account terms prevail over general schedule.
15.4 — 15.8
Reference Period: 1 October N to 30 September N+1. Turnover statement within 30 days. YER as credit note on October N+1 invoice. Schedule amendment with 30 days' notice.
15.9
Suspension/withdrawal: late payment > 30 days (Dir. 2011/7/EU); insolvency proceedings (Reg. (EU) 2015/848); disloyal conduct; account termination.
15.10
Formalised in written agreement (Art. 3 Reg. (EC) 593/2008 — Rome I). Governed by French law. Disputes: Commercial Court of Dunkerque (Art. 25 Reg. (EU) 1215/2012 — Brussels I bis).
Article 16 — Intellectual property
Website content protected. Reproduction prohibited. Sale does not transfer IP rights.
Article 17 — Force majeure
Release per force majeure. Termination after 60 days without compensation.
Article 18 — Mediation and dispute resolution
Amicable settlement first. Consumer mediation per Dir. 2013/11/EU.

Article 19 — Applicable law and jurisdiction
French law. Consumer retains mandatory protections (Art. 6 Rome I).
Consumers: Dunkerque or domicile (Art. 17-19 Brussels I bis). Professionals: Commercial Court of Dunkerque.
Article 20 — Miscellaneous
Entire contract. Non-waiver. Severability. Accessibility (Dir. (EU) 2019/882). Durable medium. Amendment possible.

Iceland

Not VOEC; MVA 25%; all costs at Customer's expense.
